Applicability

The following terms and conditions govern all services rendered by CodeCanva to its Clients.

Definitions

1. • Client: The individual or organization requesting services from CodeCanva.
2. • CodeCanva: The primary owner and provider of this website.
3. • Project: Any web design, software development, or related service undertaken for the Client by CodeCanva.
4. • Completion: The finalization of tasks outlined in the project scope.
5. • Launch: The upload of the completed work to a server or the delivery of materials to the Client.

Acceptance of Terms

Clients are deemed to accept these terms and conditions upon agreeing to a project quote, even without a signed document. By approving a quote or utilizing our services, you acknowledge and agree to these terms in full.
Please ensure you review these terms carefully, as any purchase or use of our services signifies your acceptance of them.

Agreement to Provide Services

CodeCanva agrees to undertake work upon receiving confirmation from the Client via email, phone, postal correspondence, or fax. An "order" constitutes a verbal or written contract between the Client and CodeCanva, including communications through email or phone.

Clients are expected to thoroughly review project plans, quotations, and these terms to ensure clarity and mutual agreement on all work details.

Project Timelines

Unless otherwise agreed, project completion timelines range from one to six months following the approval of the design and plan, depending on the project’s scope. Specific schedules will be discussed and agreed upon before work begins. CodeCanva commits to completing the project within a reasonable timeframe while maintaining high-quality standards.
Adequate time is essential to deliver a project that meets expectations.

Client Content Requirements

During the project, Clients must supply necessary content, such as text, images, videos, and audio files. To ensure timely delivery, all required materials should be provided upfront.

Delays caused by missing content may result in additional fees of up to 25% of the project cost.

If the Client fails to provide the required materials within one week of the project’s start date, CodeCanva reserves the right to close the project, and any remaining balance will become payable immediately.

Content should be submitted in electronic formats like Microsoft Word or email attachments. Each document should clearly correspond to specific website pages, named according to the agreed site structure.

Clients using a content management system provided by CodeCanva can independently manage and update their content.

Website Development

CodeCanva will strive to ensure that the delivered website and associated code are free from errors. However, the company cannot be held liable for damages resulting from errors, malfunctions, or failures.

Ownership of website design, graphics, and coding remains with CodeCanva until all outstanding payments are settled. Scripts, software, and applications created by CodeCanva are proprietary and cannot be reproduced or sold without explicit permission.

Clients are responsible for ensuring that all submitted materials comply with copyright laws. CodeCanva reserves the right to reject copyrighted content without proof of usage rights.

Additional features or changes to the project scope may incur additional charges. Unpaid or unauthorized changes are not guaranteed to be error-free.

The Client must provide all materials necessary to complete the project in a timely manner. CodeCanva is not liable for any losses resulting from missed deadlines.

CodeCanva will not mediate disputes between the Client and third parties. Nor will the company be responsible for losses caused by server outages or the unavailability of third-party services.

Once a project is completed, final payment is due as per the agreed terms. Canceling the project does not absolve the Client of their payment obligations. Legal action may be pursued in the case of non-payment.

Applications and E-Commerce Solutions

CodeCanva is not liable for losses arising from the use of software created for the Client. While thorough testing is conducted, the Client is ultimately responsible for verifying the functionality of delivered products before deployment.

When projects involve external servers or environments, the Client must ensure the required configurations and testing conditions are in place. Any discrepancies between test and production environments are the Client's responsibility.

Post-launch, CodeCanva may assist in resolving bugs or issues found within the agreed project scope but is not obligated to do so for free.

Pricing and Payment Terms

All pricing is detailed in the project quotation sent to the Client. Quotes remain valid for 30 days, after which CodeCanva reserves the right to amend or withdraw them.

Project costs may be adjusted during development due to changes in the Client’s requirements or unforeseen third-party expenses.

Clients bear the responsibility for any additional charges incurred through international payments or bank transfers. CodeCanva does not accept shared payment charges or other financial liabilities arising from international transactions.

Refund Policy

Every client has the right to a full refund of the paid amount within 7 days from the date the funds were credited to the bank account or processed via the payment processor for CodeCanva.

A refund is conditional upon prior notification to CodeCanva of the withdrawal from the agreement via email, the form on the CodeCanva website, or by phone.

After receiving and reviewing your returned item, we will send you an email to confirm its receipt. You will also be informed about the approval or denial of your refund. If approved, your refund will be processed, and the amount will be credited back to your credit card or original payment method within a specified number of days.

Final Provisions

CodeCanva reserves the right to amend these terms and conditions at any time, with prior notice to our clients.
